Section 2: NDA & Legal Binding Agreement
1. Introduction to NDA & Binding Agreement
By engaging with Amero Music Group (AMG) in any capacity—including as an artist, executive, producer, or affiliate—you automatically agree to this Non-Disclosure Agreement (NDA) and legal terms. AMG is an independent creative collective, and all interactions with AMG are governed under private agreements rather than corporate employment laws. This NDA ensures that all confidential business operations, strategic plans, and internal discussions remain protected. Any attempt to leak, disclose, or misuse AMG’s internal information is considered a breach of agreement and may result in legal action. By proceeding, you acknowledge that you have read, understood, and agreed to these terms. These conditions apply to all AMG members, artists, executives, and anyone affiliated with AMG operations.
2. Confidentiality & Internal Business Protection
All individuals engaging with AMG agree to strict confidentiality regarding AMG’s business dealings, artist contracts, internal decisions, and financial operations. Information obtained through meetings, discussions, contracts, or private communications may not be shared with any external party. This includes, but is not limited to, business plans, music release schedules, partnerships, financial arrangements, and executive strategies. Any unauthorized disclosure of AMG information to competitors, labels, distributors, or media outlets will be considered a violation of this NDA. AMG reserves the right to terminate agreements or take legal action against anyone who breaches confidentiality. Even after leaving AMG, individuals remain bound by this NDA, ensuring that AMG’s internal business remains protected indefinitely.
3. Artist & Executive Agreement
By signing with AMG, artists, producers, and executives acknowledge that all agreements are legally binding between individuals and do not require corporate oversight or parental approval. Artists agree to the terms outlined in their contracts, which may include revenue-sharing, licensing agreements, and promotional commitments. Executives are required to follow AMG’s leadership structure, brand guidelines, and operational policies. No AMG member may sign outside deals or negotiate contracts under AMG’s name without official authorization from the President (Jaaziel Bournes). Failure to comply with AMG’s contract terms may result in immediate contract termination and loss of AMG privileges.
4. Financial & Legal Liability Protection
AMG is not responsible for personal financial obligations, taxes, or legal disputes of its artists, executives, or affiliates. Individuals engaging with AMG are solely responsible for handling their personal finances, tax filings, and legal obligations related to their AMG activities. AMG only distributes earnings when third-party payments are received and is not liable for delays caused by distributors, brands, or sponsors. Artists must provide correct payment details, and AMG is not responsible for failed or delayed payments due to incorrect information. Executives handling AMG’s finances must report all transactions accurately to maintain transparency.
5. Termination & Enforcement of NDA
If an artist, executive, or affiliate violates AMG’s policies or confidentiality terms, AMG has the right to immediately terminate their contract. Upon termination, the individual remains bound by this NDA, preventing them from leaking AMG’s business operations. Individuals who leave AMG may not claim ownership over AMG branding, partnerships, artist rosters, or internal data. Violators of this NDA may be subject to legal consequences. Any disputes must be resolved under the terms set forth by AMG’s governing agreements.
6. Legal Binding & No Parental Consent Required
Since AMG operates as an independent collective, agreements are legally binding between individuals and do not require parental permission for artists or executives aged 14 and older. AMG does not function as an employer and does not provide employment benefits, ensuring that agreements remain private and enforceable. All artists and executives acknowledge that they enter AMG agreements voluntarily and with full understanding of the terms. If an individual is found to be engaging with AMG under false pretenses or fraudulent identity, AMG reserves the right to void their contract.
7. Final Agreement & Understanding
By engaging with AMG, all artists, executives, and affiliates agree to this NDA and legal framework. AMG’s operational structure is designed to protect its business, members, and long-term vision. Anyone who disagrees with these terms must immediately cease involvement with AMG and its activities. These terms apply indefinitely to all past, present, and future AMG members. AMG reserves the right to modify these terms at any time, with updates taking effect immediately upon notification or publication.
Section 3: Copyright & Licensing Terms
1. Introduction to Copyright & Licensing
Amero Music Group (AMG) respects intellectual property rights and ensures that all music released under AMG follows copyright laws. AMG has the right to license, distribute, and copyright music on behalf of artists who sign agreements with the collective. By engaging with AMG, artists grant AMG a non-exclusive license to distribute and promote their music while retaining full ownership of their masters and compositions. AMG ensures that all music distributed is properly processed through third-party platforms like streaming services, distributors, and copyright offices. Artists are responsible for ensuring that any content they submit does not infringe on third-party copyrights. If an artist provides unauthorized material, AMG reserves the right to deny distribution or remove the content.
2. Licensing of Music Through AMG
AMG does not claim ownership over artists' music but retains the right to license and copyright content for distribution purposes. AMG may register songs with Content ID services or copyright offices to protect music from theft and unauthorized use. By agreeing to AMG’s terms, artists give AMG permission to register and protect their music where necessary. AMG does not prevent artists from distributing their music elsewhere, except where exclusive licensing agreements apply. Artists may request proof of AMG’s licensing actions at any time, ensuring transparency. AMG has the right to use artist music for promotional purposes, such as advertisements, compilations, and media campaigns. Artists must provide accurate copyright details to ensure that AMG can legally distribute their content.
3. Responsibility for Beat Licensing & Third-Party Materials
Artists and producers working with AMG must ensure that all beats, samples, and instrumentals used in their music are properly licensed. AMG is not responsible for legal disputes arising from improperly licensed beats. If an artist or producer uses a beat labeled as “Free for Profit,” they must provide a screenshot or proof that the beat is legally usable. If a copyright claim arises due to an improperly licensed beat, the artist or producer is fully liable for any legal or financial consequences. AMG will not cover legal fees or penalties resulting from copyright violations. If a song is flagged for copyright infringement, AMG reserves the right to remove it from distribution until proper proof of licensing is provided.
4. AMG’s Liability for Copyright Claims
AMG does not assume responsibility for copyright disputes involving third-party claims, including but not limited to:
-
Unauthorized use of beats, samples, or instrumentals.
-
Lyrics or melodies that infringe on another artist’s work.
-
Unauthorized use of voice recordings, production work, or cover art.
If a copyright claim is filed against a song distributed through AMG, the artist or producer must resolve the dispute directly with the copyright holder. AMG may assist in the resolution process but is not financially or legally responsible for third-party claims. If an artist repeatedly violates copyright policies, AMG reserves the right to terminate their agreement and remove them from the collective.
5. Use of AMG’s Branding & Copyrighted Materials
Artists, executives, and affiliates may not use AMG’s brand name, logo, or intellectual property without written permission. AMG branding includes logos, slogans, promotional materials, and any official AMG-created content. Unauthorized use of AMG’s branding for fraudulent or misleading purposes will result in legal action. AMG retains full ownership of all branding and promotional assets associated with the collective. Artists may use AMG branding only for official releases, promotional content, and approved collaborations.
6. Royalties & Copyright Registration Payments
AMG ensures that all royalties are distributed only after AMG has received payments from third-party distributors or partners. Artists understand that royalty payments may be delayed due to processing times from streaming services, distributors, or brand deals. AMG does not guarantee immediate payments and is not responsible for unpaid royalties from third-party companies. Copyright registration fees, if applicable, must be covered by the artist unless otherwise agreed upon in writing. If an artist requests AMG to register their work with a copyright office, AMG may charge a processing fee to cover registration costs. Artists who fail to provide correct royalty payment details are responsible for any resulting delays or non-payments.
7. Final Agreement & Legal Compliance
By engaging with AMG, artists and executives confirm that they understand and agree to AMG’s copyright policies. AMG operates within copyright laws to ensure legal distribution and branding protection. Artists who refuse to comply with these terms will not be permitted to distribute their music through AMG. Any disputes related to copyright, licensing, or royalties must be resolved through AMG’s official dispute resolution process. AMG reserves the right to modify these terms at any time, with updates taking effect immediately upon notification or publication.
Section 4: Media & Production Terms
1. Introduction to Media & Production Guidelines
Amero Music Group (AMG) provides artists with distribution, branding, and promotional support, ensuring that their content is delivered professionally. Artists are expected to follow the content guidelines set by major streaming platforms (Spotify, Apple Music, YouTube, etc.) to avoid takedowns or legal issues. However, AMG acknowledges that certain music styles, such as drill, gangster rap, and “YN” artists, may involve themes that platforms often flag. In such cases, AMG will work with artists to navigate content restrictions while preserving creative integrity. AMG is not liable for platform-enforced content removals, demonetization, or strikes resulting from guideline violations. Artists are responsible for understanding and complying with the policies of platforms where their music is published.
2. Content Ownership & Rights
Artists who submit music, visuals, or promotional materials for AMG releases retain full ownership of their work unless otherwise specified in a licensing agreement. AMG does not claim ownership of music or visuals created by artists but retains the right to distribute, market, and promote submitted content. By submitting content to AMG, artists grant the collective a non-exclusive license to use, distribute, and monetize their material. AMG reserves the right to decline, remove, or delay content releases if the submitted material does not meet distribution standards. Any artwork, visuals, or promotional materials created by AMG for an artist remain AMG property unless otherwise agreed in writing.
3. Social Media & Brand Representation
Artists under AMG are expected to represent the collective professionally on social media and in public appearances. AMG encourages freedom of expression but prohibits hate speech, illegal activity, and public conflicts that may harm AMG’s reputation. Artists must credit AMG in official releases, social media posts, and promotional materials where applicable. Executives and artists are not permitted to make unauthorized business deals or public statements on behalf of AMG without approval. AMG reserves the right to suspend promotional efforts or terminate agreements if an artist’s actions damage the brand’s public image.
4. Platform Guidelines & Compliance
All music and media released through AMG must comply with the content policies of streaming services, social media platforms, and distribution partners. Artists must ensure that their music, artwork, and visuals do not violate platform-specific copyright, monetization, or content moderation rules. If a platform removes, demonetizes, or restricts content due to violations, AMG is not liable for any financial or creative losses. AMG will assist artists in resolving platform issues where possible, but artists are ultimately responsible for ensuring their content aligns with platform policies. AMG retains the right to modify releases to meet platform requirements if necessary.
5. Financial Responsibilities & Payment Clause
AMG does not guarantee immediate payments for music streams, promotions, or brand partnerships. Payments to artists will only be made after AMG receives funds from third-party distributors, brands, or other financial partners. AMG is not required to issue payments upfront and is not responsible for delays caused by streaming platforms or business partners. If an artist is owed a payout, AMG will process payments within a reasonable time after receiving funds. Artists must ensure that their payment details are correct, as AMG is not responsible for failed or lost transactions due to incorrect information. If an artist is unable to receive payments through AMG’s standard methods, alternative arrangements must be made at the artist’s expense.
6. Media Content & AMG’s Rights
AMG reserves the right to use artist content for promotional purposes across social media, websites, and official marketing campaigns. By engaging with AMG, artists grant permission for AMG to feature their work in compilations, advertisements, and collaborations. AMG may create promotional materials, including graphics, video clips, and edited visuals, to support artist releases. These promotional assets remain AMG property and may not be altered or resold without permission. If an artist wishes to withdraw their content from AMG promotions, a formal request must be submitted in writing. AMG is not responsible for third-party use of artist content beyond its control.
7. Final Agreement & Terms Update Policy
By engaging with AMG, artists and executives acknowledge that they have read and agreed to these terms. These guidelines ensure that AMG operates professionally while maintaining creative freedom for artists. Artists who fail to comply with these terms may face content takedowns, promotional suspension, or termination of their AMG agreement. AMG reserves the right to update these terms at any time, with changes taking effect immediately upon notification or publication. If an artist or executive does not agree to the updated terms, they must discontinue their engagement with AMG. Continued use of AMG services constitutes full acceptance of the latest version of these terms.
